Agreement to terms

These Terms and Conditions ("Terms") govern your engagement of services from Neuron Marketing Pty Ltd ("Neuron", "we", "us", or "our"), a company registered in Australia. By engaging our services or accessing this website, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

The services

Neuron provides senior-led B2B sales outreach, fractional sales strategy, market entry support, and related advisory services as described in your individual engagement agreement or statement of work.

The specific scope, deliverables, and timelines applicable to your engagement are defined in the proposal or statement of work agreed between us. Where these Terms conflict with a signed statement of work, the statement of work prevails.

We provide our services with reasonable care and skill. We do not guarantee specific commercial outcomes such as a particular number of meetings, leads, or closed deals, as outcomes depend on factors outside our control including your market, offer, and responsiveness.

Engagement & payment

Our services are provided on a retainer basis with a minimum engagement term as specified in your statement of work (typically six months). Fees are billed monthly in advance unless otherwise agreed.

• Invoices are payable within the period stated on the invoice (typically 14 days).
• A setup fee may apply to the first month to cover initial data and infrastructure costs.
• Late payments may result in suspension of services until the account is brought current.
• Fees are exclusive of GST unless otherwise stated.

Client responsibilities

To enable us to deliver effectively, you agree to:

• Provide a clear description of your offer, target market, and objectives.
• Make a decision-maker reasonably available for strategy and review sessions.
• Provide timely feedback on leads, messaging, and campaign direction.
• Ensure any materials or information you provide are accurate and that you have the right to share them.
• Comply with all applicable laws in relation to your products, services, and the outreach conducted on your behalf.

Intellectual property

All frameworks, methodologies, templates, and pre-existing materials used in delivering the services remain the intellectual property of Neuron. Upon full payment, you receive a licence to use the specific deliverables created for you for your own business purposes.

Materials, data, and brand assets you provide to us remain your property. You grant us a licence to use them solely for the purpose of delivering the services.

Confidentiality

Each party may receive confidential information from the other. Both parties agree to keep such information confidential and to use it only for the purpose of the engagement. This obligation survives termination of the engagement.

Disclaimers

Our services and this website are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we exclude all warranties not expressly stated in these Terms.

Any projections, case studies, or testimonials shared are illustrative and are not a guarantee of future performance. Nothing in these Terms excludes any rights or remedies you may have under the Australian Consumer Law that cannot lawfully be excluded.

Limitation of liability

To the maximum extent permitted by law, Neuron's total aggregate liability arising out of or in connection with the services is limited to the fees paid by you to us in the three months immediately preceding the event giving rise to the claim.

We are not liable for any indirect, incidental, special, or consequential loss, including loss of profits, revenue, data, or goodwill, however arising.

Term & termination

The engagement continues for the minimum term stated in your statement of work and thereafter on a rolling basis until terminated. Either party may terminate after the minimum term by providing written notice as specified in the statement of work (typically 30 days).

Either party may terminate immediately if the other commits a material breach that is not remedied within 14 days of written notice. Fees for services performed up to the date of termination remain payable.

Governing law

These Terms are governed by the laws of New South Wales, Australia. Both parties submit to the non-exclusive jurisdiction of the courts of New South Wales.

Changes to these terms

We may update these Terms from time to time. The version published on this page, with the "last updated" date shown above, is the current version. Material changes affecting an active engagement will be communicated to you directly.
